Retailers Policy

POLICY OVERVIEW

Jonathan Green & Sons Inc. requires all Jonathan Green Retailers/Dealers/Resellers to follow this IN-STORE AND ONLINE Selling Policy (“Policy”). This Policy applies to all Jonathan Green products and all Retailers/Dealers/Resellers that violate this policy are subject to (a) Retailer/Dealer/Reseller probation, including suspension of any Jonathan Green product shipments; (b) Removal of Jonathan Green.com dealer locator privileges; and/or (c) Loss of Jonathan Green Retailer/Dealer/Reseller status. Further, Jonathan Green & Sons Inc. will not provide warranties to customers for any Jonathan Green products that you sell through an unapproved online sales channel or unapproved store. If you have questions, or would like approval of an online sales channel or store, reach out to your Jonathan Green sales representative for guidance.

Jonathan Green Lawn Products are available from a network of Authorized Retailers/Dealers/Resellers in the United States. Jonathan Green has invested considerable time and money to train and supply its nationwide network of Authorized Retailers/Dealers/Resellers and they have reciprocated by spending ample time and resources - as well as donating significant space in their stores - to learn about our lawn products and how to use/sell them properly to ensure the best results for their customers.

This authorized network has met the parameters required to sell Jonathan Green products to the public. These parameters are as follows:

(a) Retailer/Dealer/Reseller must be a member of our Authorized Distributor Network, which includes Ace Hardware, Do It Best, True Value, Orgill, Arett Sales, Bradley Caldwell, BFG Supply, HB Davis Seed Company, Griffin Greenhouses, and Standard Hardware. This includes any reseller that leases a store through popular web sales platforms such as Amazon, Walmart, Ebay etc. The reseller of Jonathan Green products must be able to furnish - WHENEVER IT IS REQUESTED BY JONATHAN GREEN - a current account number with any of our authorized distributors, which the distributor must verify in writing to Jonathan Green.

(b) Retailer/Dealer/Reseller must be properly trained on Jonathan Green products, which involves either certified personal training and on-line training courses specifically designed to equip staff with superior product knowledge about the line. They must have visited the Jonathan Green Academy @ jonathangreen.com/resource-center and watched all seven educational videos. They must also take the Jonathan Green Lawn Products Quiz @ jonathangreen.com/lawn-product-quiz and be able to prove to a Jonathan Green representative that they are well versed in answering customer questions about our lawn products.

(c) Retailer/Dealer/Reseller must have a qualified customer service team to provide specific answers to product and usage questions, along with any performance complaints, by consumers.

(d) Retailer/Dealer/Reseller must be an approved, independent garden center, hardware store, farm/fleet, or web retailer. Jonathan Green only supports independent family businesses and believes strongly in the “Shop Small” movement. (e) Unless a “grandfathered” exception has been approved by Jonathan Green before implementation of this agreement, Reailers/Dealer/Reseller must have a physical store that stocks Jonathan Green products and services our consumers. The physical store must carry a good range of lawn products and display these products on the store shelves or on pallets in the store. Your business will not be considered a Retailer/Dealer/Reseller of Jonathan Green lawn products if you keep just a few bags behind the counter or in your warehouse for consumers who purchased on line and pick up at the store. A booth at a flea market or a trade show that exhibits and sells Jonathan Green lawn products is not considered to be an official Retailer/Dealer/Reseller of Jonathan Green lawn products.

Jonathan Green & Sons, Inc. does not authorize distribution of its products through discount club stores, shopping clubs, wholesale clubs or other discount chain stores, or through any e-commerce sites other than JonathanGreen.com or a Jonathan Green Authorized Retailer/Dealer/Reseller who may also have an e-commerce website that sells Jonathan Green lawn products.

Any business selling Jonathan Green Lawn Products to an unauthorized Retailer/Dealer/Reseller is not allowed and strictly prohibited. Sales to consumers from these unauthorized parties will not be supported by Jonathan Green & Sons, Inc. since we can’t know if the unauthorized reseller has obtained the merchandise through fraudulent or other improper means or may have obtained Jonathan Green Lawn Products from third parties with the intention of re-selling them for promotional reasons.

Jonathan Green will not extend warranty coverage to products once they are resold by unauthorized resellers or resold by private parties. Consumers are advised to always check the Jonathan Green Store Locator before making a purchase to verify that they are purchasing a GENUINE JONATHAN GREEN PRODUCT from an Authorized Jonathan Green Retailer or Reseller. Jonathan Green will do its utmost to terminate any sales of its products to unauthorized Retailers/Dealers/Resellers.

These Terms and Conditions govern the usage of the JonathanGreen.com website and the websites of our Authorized Retailers/Dealers/Resellers. To be part of the authorized network, you agree to be bound by all the Terms and Conditions set forth here. We reserve the right to change these Terms and Conditions at any time, and you agree to be bound by any such changes. Unless explicitly stated otherwise, any new features or functionality that augment or enhance the JonathanGreen.com website shall be subject to these Terms and Conditions.

Authorized Retailers/Dealers/Resellers are permitted to market for sale or sell Jonathan Green lawn products on the Internet through Permissible Websites. A “Permissible Website” is a website that (i) is approved by Jonathan Green and this has been documented in writing. (ii) is operated by the Retailer/Dealer/Reseller in Retailer’s/Dealer’s/Reseller’s legal name and a URL approved by Jonathan Green, which approval shall be granted or revoked at any time in Jonathan Green’s sole and absolute discretion; (iii) clearly states full legal name, mailing address, telephone number, and email address; (iv) does not give the appearance that it is operated by Jonathan Green or any third party; and (v) does not include in its domain name (including any top-level domain or subdomain) any Jonathan Green trademark or product name nor a misspelling of any Jonathan Green trademark or product name. Jonathan Green reserves the right to terminate, at any time and in its sole discretion, its approval for Retailer/Dealer/Reseller to market and sell Jonathan Green products on the Permissible Websites, and Retailer/Dealer/Reseller must cease all such marketing and sales on the Permissible Websites immediately upon notice of such termination. Permissible Websites must be authorized in writing by Jonathan Green.

Jonathan Green has authorized and “grandfathered” sales by its Authorized Distributor Network, which includes Ace Hardware, Do It Best, True Value, Orgill, Arett Sales, Bradley Caldwell, BFG Supply, HB Davis Seed Company, Griffin Greenhouses, Standard Hardware, and Esbenshade’s Garden Center regional fulfillment centers, to the following online/digital sales platforms and Permissible Websites:
Ace Hardware, Do It Best Hardware, True Value, Orgill, Bradley Caldwell, BFG, Arett, Standard Hardware, Esbenshade’s Garden Center, Bogucki Enterprises, Max Warehouse, Monster Pet, and any one of the Authorized Distributor Network’s customers/members that fit the description outlined in Sections (a, b, c, d, and e) of this agreement above that leases a store through Amazon, Wal-Mart, eBay, or any other reputable on-line selling platforms.

Retailer/Dealer/Reseller SHALL NOT MARKET OR OFFER FOR SALE any Jonathan Green lawn product directly to or through any publicly accessible website, mobile application, texting programs or other online/digital sales platform including, without limitation but not limited to, any third-party marketplace website such as Amazon, Jet, Target, Macy’s, Rakuten, Walmart, Home Depot, Lowes, Costco, BJs, Menards, AliExpress, Alibaba, Shein, Temu, Unbeatablesales.com, Wayfair, Kroger, Albertson’s, Ahold, Shop-Rite, and any of their affiliates.

(f) Except as permitted below, Retailer/Dealer/Reseller shall not bid through any paid search engine marketing, text marketing or keyword campaigns (e.g., pay-per-click or product listing ads) available on any website, including without limitation any online marketplace site or social media site, on the following Jonathan Green trademarks and other recognized intellectual property or on any variation or misspelling of such marks or terms:

Jonathan Green, Jonathan Green.com, Black Beauty, Black Beauty Grass Seed, Blue Panther, Blue Panther Grass Seed, Veri Green Fertilizer, The New American Lawn, Feed Your Lawn and Feed Your Soil, Feed Your Lawn... And Your Soil, Great Lawns Start Here.

A Retailer/Dealer/Reseller may use and bid on a Jonathan Green trademark or brand term, if it is also used with a specific product reference, such as “Black Beauty Sun & Shade Grass Seed”. These restrictions are not intended to limit or hinder competition among or between Jonathan Green and its Retailers/Dealers/Resellers or between Retailers/Dealers/Resellers. These restrictions are specifically designed and narrowly tailored to protect Jonathan Green’s investment and reputation as a premium lawn products brand and its intellectual property rights.

This Jonathan Green & Sons Inc - Guidelines for Authorized Retailers and Resellers of Jonathan Green lawn products policy has been published on the Jonathan Green website, www.jonathangreen.com/retailers and is in effect as of March 3, 2025.
